Introduction of the Operating Officer System

In order to respond quickly and flexibly to the changing business environment, DISCO Corporation (Head Office: Ota-ku, Tokyo, President: Hitoshi Mizorogi) has been pursuing swift decision-making by a small number of board members. With the recent diversification of business, DISCO has decided to introduce an operating officer system, assisting the management to upgrade and further improve efficiency of business operation.
Roles of the operating officers and related rules
As a member of the management team of the Company (or Division), a DISCO operating officer is responsible for supporting the Company President (or Managing Director) to enhance quality of management. The operating officer is treated the same as a director.
Operating Officer Rules (excerpt)
- A board member is not allowed to serve concurrently as an operating officer.
- No fixed number is set for the operating officers.
- The operating officers are to be nominated at the first meeting of the board of directors held after the annual shareholders脱meeting. The term is one year; starting from July 1 of the year of nomination and ending on June 30 of the following year. Reappointment is not prohibited.
- The operating officers are employed by the company.
This operating officer system was officially adopted at the meeting of the board of directors held on June 23, 2006, and two operating officers were nominated.
